#Any topic that is excluded from the Membership Rules is subject to be added as an amendment on a per case basis. If no repercussions exist before the amendment is made, any offender will be grandfathered in for that one instance and is hence forth held to any repercussion for future occurrences. &lt;br /&gt;

===Becoming Member=== &lt;br /&gt;
#All new members must fill out an application of intent to join. The application is located at https://knoxmakers.org/join/&lt;br /&gt;
#New members are probationary members for 1 calendar month. &lt;br /&gt;
#Probationary members are required to pay the first month&#039;s dues as the application fee.  This fee is refundable if membership is declined by either party.  If the application fee is paid after the 15th of the month, the dues will be valid through the end of the next month.&lt;br /&gt;
# Members must sign a waiver of liability and assume responsibility for their own safety.&lt;br /&gt;

===Transferring Membership===&lt;br /&gt;
#In order to foster a sense of community among hackers everywhere, new members that are transferring from another hackerspace may request instant access.&lt;br /&gt;
#If the leadership team of the other hackerspace can be contacted through their publicly listed contact information, and will unanimously vouch for the new applicant, then they will be granted keys during their probationary period to allow unsupervised access to the workshop.&lt;br /&gt;
# At the end of the probationary period, the transferring member will be evaluated for membership as with any other probationary member, as described below.&lt;br /&gt;

===Accepting New Members=== &lt;br /&gt;
#Probationary members having completed 1 calendar month of participation in the group will be eligible for keyholder status. &lt;br /&gt;

===Member Sponsorship===&lt;br /&gt;
#Member sponsorship is defined as one member paying the dues for another member.  The sponsorship program is intended to provide affordable access to Knox Makers.  It can permit families to have an additional membership at a discount, as well as allow members the ability to sponsor people in our community who would benefit from access to Knox Makers, but may not be able to afford membership directly.&lt;br /&gt;
#Any member who pays dues at a non-discounted rate may sponsor one additional member at the sponsorship rate, as defined in the section on dues.  Members may sponsor additional members with board approval.  Determinations of additional sponsored members will be made on a case-by-case basis.&lt;br /&gt;
#An applicant may sponsor another applicant to go through the probationary period concurrently. &lt;br /&gt;
#The sponsored member will be a keyholding member pending approval of their probationary period.&lt;br /&gt;
#The sponsorship may continue as long as the sponsor wishes to fund.&lt;br /&gt;
#Sponsored members who lose their sponsor may continue their membership uninterrupted by paying the appropriate individual dues.&lt;br /&gt;

# &amp;lt;span style=color:red&amp;gt;When using any chemical such as spray paint, solvents, resins, or other chemicals that may be offensive to other members, please use those chemicals outside, so as not to create a situation where others may be exposed to fumes or vapors unnecessarily.&amp;lt;/span&amp;gt;&lt;br /&gt;
&lt;br /&gt;
==Responsibility of Members ==&lt;br /&gt;
# Members must act in a safe and responsible fashion at all times.  Egregious acts that endanger yourself or others may be grounds for termination of membership.&lt;br /&gt;
# Ensure that dues are kept current.&lt;br /&gt;
# Members must be responsible for guests that they bring to the space or group-sponsored events.  See policy on visitors below.&lt;br /&gt;
# It is the responsibility of members to make sure that all guests to the space sign a waiver of liability before they use any tools or equipment.&lt;br /&gt;
# Minors may be permitted in the space in the presence of their parent or guardian, or with a signed parental permission slip and waiver of liability.&lt;br /&gt;
#  Members must remember that education is the primary purpose of Knox Makers.  As such, regularly scheduled classes must take precedence over private and/or group projects.  That does not mean that members are prohibited from working on projects during regularly scheduled classes.  It does mean that members should avoid activities disruptive to the class during the scheduled time frame.&lt;br /&gt;
&lt;br /&gt;
== Suspending and Terminating Membership ==&lt;br /&gt;
Membership may be suspended or terminated from the organization for any of the following reasons:&lt;br /&gt;
# Any reason specified in the [[Bylaws]] Article IV, Sections 6 and 7. &lt;br /&gt;
# Any egregious activity which results in the endangerment of the safety of members, the status of the organization, or the welfare its property, as determined by the board.&lt;br /&gt;
# Using resources of Knox Makers to knowingly violate the law, or knowing violating the law while at the space or any event hosted by Knox Makers.&lt;br /&gt;
# Any activity judged by the board to be outside of the realm of acceptable behavior.&lt;br /&gt;
&lt;br /&gt;
==Drugs, Alcohol &amp;amp; Tobacco Policies ==&lt;br /&gt;
#No illegal drugs or drug paraphernalia under any condition are to be present or used in the space, or at any function sponsored by the group. &lt;br /&gt;
#Anyone obviously under the effects of drugs may be asked to leave the space, or any function sponsored by the group. &lt;br /&gt;
#Use of alcohol must be limited to persons of age, no exceptions. &lt;br /&gt;
#The use of power tools is prohibited for 12 hours after the consumption of the last alcoholic beverage.&lt;br /&gt;
#Tobacco usage will be prohibited inside the space, or within 25 feet of the main entrance, operable windows, or HVAC air intakes.&lt;br /&gt;
#At sponsored functions, members will be required to comply with all prohibitions of alcohol or tobacco set by our host. &lt;br /&gt;
&lt;br /&gt;
===Alcohol Probation ===&lt;br /&gt;
#In the event that a member is observed violating the 12 hour prohibition on power tools after consuming alcohol, the following penalties will be applied: &lt;br /&gt;
====Three strikes ====&lt;br /&gt;
#First occurrence, 2 weeks no alcohol consumption or alcohol intoxication on site and surrounding area. &lt;br /&gt;
#Second occurrence, 1 month no alcohol consumption or alcohol intoxication on site and surrounding area and 2 weeks of no usage of tools. &lt;br /&gt;
#Third occurrence, go to board for further review. Membership may be terminated by a 2/3rds Majority of board members.  Other, non-terminating punishments must pass a simple majority vote.&lt;br /&gt;
#The board reserves the right for all decisions and actions taken pertaining to alcohol consumption or drunken conduct on site and surrounding area, as well as any event sponsored by the group.&lt;br /&gt;

# If an issue or matter between members cannot be resolved, those members can bring the matter to the board. It is then at the board&#039;s discretion to enact appropriate action for resolution of the issue. &lt;br /&gt;

#One storage space is defined as one half of one shelf, roughly 17&amp;quot; by 24&amp;quot;.&lt;br /&gt;
#Members may only store items in their marked storage area, or in their currently rented spaces, as described below. Do not leave projects or other materials in common areas. &lt;br /&gt;
#Members may not store anything on top of the member storage shelving.&lt;br /&gt;
#Items on the member storage shelves in unmarked locations are at risk of being thrown away.&lt;br /&gt;
===Rental Storage Spaces===&lt;br /&gt;

#The rental material storage rack is specifically designated for rental, and are intended to allow the storage of materials, tools, or other projects that are too large for member storage included with membership.  Spaces in the general material storage racks may not be rented, and any material stored in them may be confused for general usage by other members.&lt;br /&gt;
#The material storage spaces are roughly 5 feet by 1 foot in size, extending full height to the ceiling.&lt;br /&gt;
#The rental period for a material storage space is one week, and no pro-rated time will be allowed.  For administrative ease, rental periods will begin at midnight on Tuesday.  Anyone not out of their space by 12:01 AM Tuesday will owe an additional week of rent.&lt;br /&gt;
#The base rental cost of the material storage space will be $2 per week.&lt;br /&gt;
#If there is a waiting list for material storage space, the rental cost for all current tenants will increase by $1 every week.  There is no upper limit to the weekly rental costs.&lt;br /&gt;

#The rental pallet storage racks are specifically designated for rental, and are intended to allow the storage of materials, tools, or other projects that are too large for member storage included with membership.  Spaces in the other storage shelves may not be rented, or used for storage of tools or materials not for general use.&lt;br /&gt;
#The pallet storage spaces are roughly 4 feet by 4 feet by 3.5 feet high.  Each rack will hold two rental spaces at floor level, and two rental spaces elevated.&lt;br /&gt;
#The rental period for a pallet storage space is one week, and no pro-rated time will be allowed.  For administrative ease, rental periods will begin at midnight on Tuesday.  Anyone not out of their space by 12:01 AM Tuesday will owe an additional week of rent.&lt;br /&gt;

#The rental project spaces are roughly 6 feet by 10 feet in size, extending full height to the ceiling.&lt;br /&gt;
#Each rental project space will have an independent 15 amp circuit.&lt;br /&gt;
#The tenants may not modify the walls, floor, or ceiling of the rental work spaces, and may not suspend anything from the joists in the ceiling.&lt;br /&gt;
#The rental period for a short term project space is one week, and no pro-rate time will be allowed.  For administrative ease, rental periods will begin at midnight on Tuesday.  Anyone now out of their space by 12:01 AM Tuesday will owe an additional week of rent.&lt;br /&gt;

#The rental period for the long term project space is one month, and no pro-rate time will be allowed.  For administrative ease, the rental period will begin at midnight on a Tuesday.&lt;br /&gt;
#The base rental cost for the long term project space will be $115 per month.  There will be no escalation of the rent for the long term project space.&lt;br /&gt;
#Requests for long term project space must be accompanied by a proposal from the tenant.  The proposal should provide a brief description of the project, as well as a proposed rental period.  The purpose of this proposal with specified rental period is to ensure that meaningful projects are pursued when taking up space, and that they do not languish indefinitely.&lt;br /&gt;
#Proposals will be reviewed by the board, and if approved, will be added to the waiting list for a rental space.&lt;br /&gt;
#Currently, no more than three of the rental project spaces will be used for long term project space at any one time.  Subsequent proposals may be reviewed, approved, and added to the waiting list, but if at the top of the waiting list, the proposal must wait for one of the existing long term projects to end before being allowed to take possession of a rental project space.&lt;br /&gt;
#If long term projects are completed before the proposed rental period has elapsed, then the lease may be terminated at the end of the current rental period.&lt;br /&gt;
#If long term projects are incomplete at the end of the proposed rental period, the board may, at its sole discretion, allow an extension of the long term rental space if the project has shown continuous progress towards reaching the proposed goal.  &lt;br /&gt;
#All decisions made to extend or terminate a long term project rental rest with the board of directors, and all decisions are final.&lt;br /&gt;

&lt;div&gt;THIS PROCEDURE IS NOW OBSOLETE.  WE USE QUICKBOOKS ONLINE FOR TRANSACTIONS CURRENTLY.&lt;br /&gt;
This procedure should be performed at least monthly, but more frequently will simplify the process.&lt;br /&gt;
==Cash/Check Dues==&lt;br /&gt;
*Review the receipt book in the cash box.&lt;br /&gt;
*Open the Accounting System Spreadsheet for the appropriate year.&lt;br /&gt;
*Find the last entry from the receipt book that has been entered into the accounting spreadsheet.&lt;br /&gt;
*Starting with the first entry in the receipt book not entered into the accounting spreadsheet:&lt;br /&gt;
**Add the amount of dues collected on the sheet corresponding to the month the dues are received.  This is not related to the month for which the member is paying dues.  For example, if a member pays dues for August on July 15th using a check, entere the amount collected on the sheet corresponding to July, on the row for &amp;quot;Day&amp;quot; 15.&lt;br /&gt;
**Enter the dues collected under column B, &amp;quot;Dues Collected&amp;quot;.&lt;br /&gt;
**If more that one collection takes place that day, make a formula that has a term for each separate transactions.  For example, if there are three, $50 transactions in one day, do not enter &amp;quot;150&amp;quot;, enter &amp;quot;=50+50+50&amp;quot;.&lt;br /&gt;
**Add a note for that day that states, &amp;quot;Dues: &amp;quot; and list the name of each member who paid.  After their name, use the following tags to indicate their method of payment for easier tracking later:&lt;br /&gt;
# - C (indicating cash)&lt;br /&gt;
# - K (indicating check)&lt;br /&gt;
**If they pay for multiple months, or if their payment does not count towards the calendar month in which payment was made, use the three letter month abbreviation to indicate for which month(s) payment is being made. *To confirm that all transactions are entered and accounted for, you should add up the balance of cash in the cashbox, the balance in the paypal account, the balance in the google checkout account (usually zero, as google deposits regularly, unlike paypal, which maintains a balance), and the balance of the checking and savings account at Y12FCU.  This total should match the current running balance in the accounting system spreadsheet.&lt;br /&gt;
*If the numbers do not match, subtract to find the difference.  Often it will be a common amount, such as $48.25.  That value is the net result from one month&#039;s dues via paypal.  That example would indicate a missed paypal transaction.  Other values that do not correspond to a transaction are commonly tied to a data entry error.&lt;br /&gt;
*Additionally, there is sometimes a processing delay between balance and transactions listed.  For example, if the transaction for paying the electric bill is entered into the spreadsheet before the transaction enters Y12FCU&#039;s system, there will be a difference that will corrected soon.&lt;/div&gt;</summary>

*In order to track the financial performance of the organization, a google spreadsheet is maintained under the treasurer account for each year.  Each book will have 13 sheets: 1 sheet for each month, and a summary sheet.&lt;br /&gt;
*To set up a spreadsheet for a new year, make a copy of the spreadsheet and rename it for the appropriate year.&lt;br /&gt;
*On the summary sheet, change the summary year in cell B1, and bring forward the final cash balance from the previous spreadsheet and enter it into the starting cash balance in cell E1.&lt;br /&gt;

&lt;div&gt;This page is intended to be a guide detailing the process followed to incorporate KM.  It should describe the steps taken to incorporate, as well as provide a list of requirements to maintain non-profit corporate status with both the state of Tennessee and the IRS.&lt;br /&gt;
&lt;br /&gt;
Incorporation Steps:&lt;br /&gt;
&lt;br /&gt;
1. Submit a charter for a non-profit corporation with the Secretary of State of TN. (Submitted 12/1/11. Received and approved 12/9/11.  Effective Date 1/1/12)&lt;br /&gt;
&lt;br /&gt;
2. File charter with Register of Deeds in county of principle office.&lt;br /&gt;
&lt;br /&gt;
3. Using legal organization name and charter, request an Employer Identification Numer (EIN) from the IRS.  The EIN is a taxpayer identification number for corporate entities, similar to a social security number for individuals. (Complete 12/6/11).&lt;br /&gt;
&lt;br /&gt;
4. With a charter from the state and the EIN, apply for a non-profit exemption with the IRS under section 501(c)(3).  This application is extensive, and will require some effort.  We should attempt&lt;br /&gt;
&lt;br /&gt;
5. Use EIN to establish local corporate presence (i.e. open a local bank account). (Complete 12/9/11).  Bank account created at Y12 Federal Credit Union.&lt;br /&gt;
&lt;br /&gt;
6. Use corporate accounts to set up electronic payment processing with paypal and/or square. (Complete 12/13/11).&lt;br /&gt;
&lt;br /&gt;
7. Investigate requirement for local business license in county of principle office. (Not required when registered as a non-profit with the state).&lt;br /&gt;
&lt;br /&gt;

Requirements at all times:&lt;br /&gt;
*Tennessee requires that corporations maintain at least 2 officers: president and secretary, and they may not be the same person.  Other board positions may be added or removed as needed, but these two required offices should be filled promptly upon any vacancy.  &lt;br /&gt;
&lt;br /&gt;
&lt;br /&gt;
&lt;br /&gt;
Periodic requirements for the county government:&lt;br /&gt;
*Update any charter amendments with Register of Deeds.&lt;br /&gt;
&lt;br /&gt;

Periodic requirements for the state government:&lt;br /&gt;
*Each corporation registered in Tennessee must file an “annual report” with the Division of Business Services on or before the first day of the fourth month following the close of the corporation’s fiscal year. Each annual report form is customized with current information of record relating to the specific corporation to which the form applies. Annual report forms are not available as blank forms and must be filed on the preprinted forms provided by the Division of Business Services.  This maintains non-profit status with the state and exempts the organization from the need to pay franchise and excise taxes.  First due 4/1/13, based on effective date of 1/1/12 of charter.&lt;br /&gt;

Periodic requirements for the IRS:&lt;br /&gt;
*Annual tax report.  Exempt organizations are required to file by the 15th day of the 5th month As long as gross receipts are less than $50,000 the 990-N form may be used.  It is called the postcard form.  If gross receipts exceed $50,000, but are less than $500,000, then the form 990-EZ may be used.&lt;/div&gt;</summary>
